The SEC is proposing a new approach to electronic delivery that could change how required investor communications are delivered, accessed, and managed. While many organizations already have digital delivery capabilities in place, the implications of the proposed rule will vary based on their existing approach. Understanding what may change, and what you already have in place, is an important first step in preparing for what's ahead.

E-default FAQs
On July 16, 2026, the Securities and Exchange Commission proposed Regulation E-Delivery, a new rule that would:
- Expand the ability of issuers, market intermediaries, and others to use electronic delivery to satisfy requirements to deliver required regulatory information under the federal securities laws.
- Provide requirements and conditions for delivering regulatory information electronically to investors and others without first obtaining their affirmative consent.
- Generally supersede the Commission’s decades-old, guidance-based e-delivery approach.
To facilitate this new e-delivery approach, the Commission also proposed to:
- Amend current rules addressing the dissemination of proxy materials and tender offer materials.
- Rescind Rule 30e-3 under the Investment Company Act of 1940 (which provides alternative means for registered investment companies to satisfy shareholder report transmission requirements).
E-delivery has the potential to improve investor relationships while lowering operational costs. Firms may be able to spend less on print, postage, and manual servicing. With digital opt-ins standard, there may be opportunities for fewer workflows, centralized preference centers, and improved auditability across engagements. Fast, clear, easy-to-use communications can create stronger engagement. Finally, increased e-delivery can be a platform for enhanced personalization and AI-enabled communication.
E-deliveries allow an overall better experience built on clarity and convenience. Investors will have faster access to time-sensitive documents and notices in formats that are easy to read, save, and print. Simple preference management and the ability to opt back in to paper lets them use the channels they trust to keep them most informed. The centralized, persistent, reliable access to documents over time increases transparency and overall satisfaction.
